1. Acceptance of Terms

By accessing or using the Retain.io platform ("Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Retain.io provides automated failed payment recovery software (dunning) that integrates with your third-party payment processors (e.g., Stripe) to monitor failed payments and send automated email sequences to your customers on your behalf.

3. Fees and Commission Structure

Unlike traditional software services, Retain.io operates strictly on a performance basis:

• No Monthly Fees: We do not charge a fixed monthly subscription license fee.
• Recovery Commission: We charge a flat fee of exactly 5% on any revenue successfully recovered through our automated email sequences and customer portals.
• If our service fails to recover a payment, you owe us nothing for that attempt. The 5% commission is automatically calculated and invoiced at the end of each billing cycle contextually through your connected Stripe account.

4. Liability & Guarantees

While we strive for a high recovery rate, Retain.io does not guarantee that any specific or all failed payments will be successfully recovered. We are simply providing the automation tooling. We shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our Service.

5. Account Termination

You may terminate your account at any time by disconnecting your Stripe account and deleting your profile from your Settings dashboard. Upon termination, we will immediately cease all active recovery campaigns for your customers.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of your operating jurisdiction, without regard to its conflict of law provisions.
