Terms of Service

1. Acceptance of Terms

By accessing or using Retain.io (the "Service"), you agree to be bound by these Terms of Service. If you do not agree with these terms, you should not access or use the Service.

2. Description of Service

Retain.io provides automated failed-payment recovery software that works alongside your billing provider to monitor failed invoices, coordinate recovery workflows, and send customer-facing communications on your behalf.

3. Fees and Commission Structure

Retain operates on a performance-based commercial model:

  • No monthly fees: Retain does not charge a fixed monthly software subscription for the core recovery product.
  • Recovery commission: Retain charges a flat 5% fee on revenue successfully recovered through its recovery workflows.
  • If no payment is recovered, no fee is due for that attempt. Applicable fees are calculated from recovered revenue tied to your connected billing environment.

4. Liability and Guarantees

Retain aims to improve recovery outcomes, but does not guarantee that any individual failed payment or all failed payments will be recovered. The Service is provided as recovery automation infrastructure, and Retain is not liable for indirect, incidental, or consequential damages resulting from the use of the Service, subject to applicable law.

5. Account Termination

You may stop using Retain at any time by disconnecting your billing integration and deleting your account from the Settings area. After termination, Retain will stop active recovery workflows associated with your workspace, subject to any processing already in flight.

6. Governing Law

These Terms are governed by the laws applicable to your operating jurisdiction, without regard to conflict-of-law principles, unless a different governing law is required by applicable regulation.
